1. Agreement
These Terms of Service govern access to and use of the TaskShiftLab platform and related services provided by the sole proprietor operating TaskShiftLab (formal legal name to be added after legal review) ("TaskShiftLab", "we", "us"). TaskShiftLab is a brand operated as a sole proprietorship; it is not an incorporated company. By creating an account or using the services you agree to these terms.
Effective date: [Effective date — to be added after legal review].
2. Accounts and access
You are responsible for maintaining the confidentiality of account credentials and for all activity that occurs under your account. Accounts are issued to a single business (a "tenant"); you may not share access across unrelated businesses.
You must promptly notify us of any unauthorized use of your account.
3. Subscriptions, setup fees, and billing
Services are sold as monthly subscriptions plus a one-time setup fee. Subscription fees renew automatically each billing period until cancelled. The setup fee is charged once and never recurs.
Soft launch: TaskShiftLab is currently in a controlled soft launch. Public paid subscriptions are not yet open, and no live charges are being processed. These billing terms describe how billing will work once paid subscriptions open.
14-day free trial: a qualified business may receive one 14-day free trial. A valid payment card is required to start the trial, and no subscription or setup fee is charged when the trial begins. You may cancel before the trial ends without being charged. If you continue after your trial, your one-time setup fee and first monthly subscription payment will be charged when the trial ends, and the paid subscription then continues. If you choose to start without a trial, the setup fee and first monthly payment are charged at checkout.
Applicable sales, use, or similar taxes may be added where required by law, based on your billing information.
Payment processing is handled by our payment processor, which is the authoritative record of subscription and payment status. A failed recurring payment is retried by our payment processor, and the account may be marked overdue. Paid functionality remains available during a 7-day payment-recovery period; if payment is still unresolved after that period, paid access may be suspended until billing is resolved. Your data is not deleted because of a failed payment.
Cancellation takes effect at the end of the current billing period unless otherwise agreed in writing. Cancellation does not create a prorated refund or credit for the current billing period.
Refunds: subscription charges are not routinely refunded. Setup fees are non-refundable once charged, except for a verified billing error or duplicate charge. If we make a billing error, the charge will be reviewed and corrected as appropriate. Nothing in these terms limits any refund or consumer rights that cannot be waived under applicable law.
4. Acceptable use
You may not use the services to send unlawful, deceptive, or unsolicited messages, to violate telecommunications or marketing regulations, or to process data you are not authorized to process.
You are responsible for obtaining and maintaining any consents required to contact your customers by SMS, email, or telephone.
5. AI services disclaimer
Portions of the platform generate content using artificial intelligence, including drafted messages, summaries, sentiment analysis, and suggestions. AI outputs may be inaccurate, incomplete, or unsuitable for a given situation.
AI-generated outputs require appropriate human review and oversight before being relied upon for customer communication, pricing, scheduling, safety, legal, financial, or regulatory decisions. You remain responsible for all communications sent from your account.
6. Customer data
You retain ownership of the business and customer data you submit. You grant us a limited license to process that data solely to provide and support the services.
We implement access controls designed to isolate each tenant's data. You agree not to attempt to access data belonging to another tenant.
7. Third-party services
The platform integrates third-party providers for payments, automation, AI processing, and data storage. Your use of the services may be subject to those providers' terms, and their availability is outside our control.
8. Service availability
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages, and force majeure events may affect availability.
9. Limitation of liability
To the maximum extent permitted by applicable law, TaskShiftLab shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business, or lost data, arising out of or related to the services.
To the maximum extent permitted by applicable law, our aggregate liability arising out of or related to the services shall not exceed the amounts paid by you to us during the [Liability period — to be added after legal review] preceding the event giving rise to the claim.
This section is drafted as a starting point and should be reviewed by qualified legal counsel before publication.
10. Termination
Either party may terminate the agreement in accordance with the subscription terms. We may suspend access for non-payment, suspected abuse, or violation of these terms. Termination does not entitle you to a refund of fees already paid, except as described in Section 3 or where required by law.
11. Governing law
These terms are governed by the laws of [Governing law — to be added after legal review], without regard to conflict-of-law principles. Disputes shall be resolved in the courts located in [Court / venue — to be added after legal review].
12. Changes and contact
We may update these terms from time to time. Material changes will be communicated through the platform or by email.
Questions about these terms: contact@taskshiftlab.com, [Mailing address — to be added after legal review].
